Grochats Terms and Conditions

Welcome to Grochats.com. These Terms and Conditions (“Terms”) govern your access to and use of the Grochats communication and automation platform, services, and associated applications (collectively, the “Service”).

The Service is owned and operated by Grochats Communications Private Limited (“Grochats,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy and Refund Policy (collectively, the “Policies”). If you do not agree with all of these Terms and Policies, you must not access or use the Service.

1. Service Description

Grochats provides a cloud-based Software-as-a-Service (SaaS) platform designed to help businesses manage, automate, and scale their customer communication and engagement across various channels, including integrated messaging applications (e.g., WhatsApp, through API providers).

2. User Accounts and Registration

2.1. Account Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

2.2. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials (username, password, API keys) and for all activities that occur under your account. You must notify Grochats immediately of any unauthorized use or security breach. Grochats will not be liable for any loss or damage arising from your failure to comply with this section.

2.3. Accuracy of Information

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

3. Subscription, Billing, and Cancellation

3.1. Fees and Billing

Access to the Grochats Service requires a subscription plan, which may be billed monthly or annually, plus charges for usage-based services (e.g., messaging credits, API calls) and add-ons. You agree to pay all applicable fees and taxes associated with your subscription.

3.2. Automatic Renewal

Your subscription will automatically renew at the end of the subscription period unless you cancel it prior to the renewal date. You authorize Grochats (or our third-party payment processor) to charge the applicable recurring subscription fees to the payment method on file.

3.3. Cancellation

You may cancel your subscription at any time within your account dashboard. Cancellation will take effect at the end of the current billing cycle, and you will retain access to the Service until that date.

3.4. Refunds

All subscription and usage fees are non-refundable, except as explicitly stated in our separate Grochats Refund and Cancellation Policy. By subscribing, you acknowledge that you have reviewed and agree to the terms of that policy.

4. User Obligations and Acceptable Use Policy

You agree to use the Service only for lawful business purposes and in full compliance with all applicable local, state, national, and international laws and regulations, and all policies of third-party messaging providers (e.g., the WhatsApp Business Policy).

4.1. Prohibited Activities

You must not use the Service to:

Send unsolicited, illegal, or spam messages (including unauthorized bulk messaging).
Transmit content that is defamatory, harassing, abusive, obscene, or racially/ethnically objectionable.
Engage in phishing, fraudulent activity, or impersonate any person or entity.
Distribute software viruses, malware, or any other harmful code.
Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

4.2. Responsibility for Content

You are solely responsible for all content, messages, and data (“User Content”) transmitted or stored through your Grochats account. Grochats does not review, edit, or endorse User Content.

4.3. Third-Party Compliance

You acknowledge that the Service often relies on third-party platforms (like Meta/WhatsApp). You are responsible for ensuring that your use of Grochats strictly complies with the Terms of Service and Acceptable Use Policies of all connected third-party platforms. Failure to comply may result in the suspension or termination of your Grochats account and/or your third-party business accounts.

5. Intellectual Property (IP) Rights

5.1. Grochats Ownership

The Service, including all software, code, proprietary methods, graphics, logos, and underlying technology, is and shall remain the exclusive property of Grochats and its licensors. Your use of the Service grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription term.

5.2. User Content Ownership

You retain all ownership rights to the User Content you create, transmit, or store while using the Service. You grant Grochats a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute the User Content only as necessary to provide, manage, and improve the Service.

6. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and process your personal information. By using the Service, you consent to such processing.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. GROCHATS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GROCHATS MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROCHATS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Grochats and its affiliates, officers, directors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

Your use of and access to the Service.
Your breach of any term of these Terms.
Your violation of any third-party right, including without limitation any intellectual property, privacy, or messaging platform policy.

10. Termination

Grochats may terminate or suspend your account access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or violate the Acceptable Use Policy (Section 4). Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
